This agreement is between shippers and drivers using the platform ("users") and APOLLO TMS ("the platform"). APOLLO TMS provides a platform for publishing freight information and matching transactions between independent third parties; it does not carry goods and is not a party to the transport contract. By registering, onboarding or using the platform you confirm that you have read and accept this agreement.

1Scope and acceptance

This agreement covers all products and services operated by APOLLO TMS, including the website (load hall and shipper workbench), the shipper app, the driver app and related services. It forms the platform rules together with the User Service Agreement, the Privacy Policy, the Fee Schedule and the Settlement and Clearing Notice. If you do not agree with any part of it, stop registering for or using the platform.

2Platform role and services

The platform provides freight information publishing and transaction matching for independent third-party users: shippers publish loads in their own name and drivers browse, grab and carry them in their own name; the transport contract is agreed and performed directly between shipper and driver.

  • For shippers: load publishing (website and app), smart pricing, online bargaining, transport tracking, digital proof of delivery and statements;
  • For drivers: load browsing (public load hall and driver app), online offers and bargaining, navigation and fulfilment, earnings details;
  • Display, matching, record-keeping and evidence services for transactions;
  • Payment collection, clearing and settlement instructions (fund handling is performed by a licensed clearing and payment institution, see section 7).

3Onboarding and verification

A shipper onboards and publishes loads with a phone number; a driver submits identity documents, driving licence and vehicle registration and onboards after platform review. Users warrant that onboarding information is true, lawful and valid, keep their accounts safe and are responsible for activity under the account. The platform may review the truthfulness and legality of published information and may delist content, restrict features or ban accounts for unlawful or false information.

4Load publishing and display

Loads published on the website or shipper app are shown to drivers and visitors in the load hall. To protect transaction safety and privacy, public listings show only the district-level origin and destination; the full address and contact details become visible to the carrying driver after acceptance. Shippers must publish true, accurate and lawful information and must not post prohibited goods or false information; disputes and losses caused by inaccurate shipper information are borne by the shipper.

5Matching, bargaining and closing

Freight is estimated by the system from vehicle type and loading/unloading distance, or set by the shipper; drivers may make online offers and both sides may bargain, with the final price agreed between shipper and driver. The platform does not set freight rates.

The order amount consists of freight, a handling fee (when the shipper requests handling) and surcharges (waiting time, tolls and other actual costs), itemised and confirmed by both sides at ordering and bargaining. Bargaining, confirmation and fulfilment are recorded for evidence.

6Platform fees

Fees are those published on the website's Fee Schedule page; nothing unpublished is charged.

  • Onboarding, publishing loads and grabbing orders: free (platform service fees are waived until further published notice);
  • Payment channel fees: charged by the licensed clearing and payment institution, about 0.3% per transaction according to its agreement;
  • Marketplace information service fee: to be charged per order; the amount and start date will be published in the Fee Schedule and cleared with the order by the clearing institution.

7Payment, clearing and settlement

The platform holds no fund pool and does not handle transaction funds. Payments made by shippers are collected and held by a licensed clearing and payment institution; after delivery is signed, that institution clears funds on the platform's instruction: the driver's freight is settled in full to the driver's account and the platform service fee (once charged) to the platform's account.

Settlement timing follows the institution's rules. Shippers can view statements in the workbench and drivers can view earnings details in the app.

8Platform responsibility and disclaimer

The platform only provides information publishing and matching and bears no carrier liability; cargo damage, delay and accidents during transport are borne by the parties to the transport contract (shipper and carrying driver) under the law, and the platform may help provide recorded evidence.

The platform is not liable, to the extent the law allows, for interruption or loss caused by force majeure or failures in communication or payment systems. The platform reviews qualifications and information formally, users judge and bear transaction risks themselves, and the platform provides complaint and dispute coordination channels.

9Changes and termination

The platform may revise this agreement as the business or regulations change and will publish the revision with a new version number and effective date; continuing to use the service means accepting it. Users may close their accounts to stop using the service; the platform may terminate service to users who seriously breach the platform rules.
